Terms / 01

What this is

These terms cover the AGI Launchpad and every page on this site: the hub, the token pages, the stats, the docs and the chat. Using any of it means you accept them. If you do not, the honest answer is not to use it — and you can still read every one of these pages without connecting anything.

Terms / 02

Who can use this

You must be 18 or older, or older if that is the age of majority where you live, and able to enter into an agreement on your own behalf. If you are acting for a company, you are saying you can bind it.

Being able to open this page does not mean you are allowed to use it. Loading the site, connecting a wallet and signing a transaction are all technically possible from anywhere — the contracts have never known or cared where anyone is. None of that establishes that you may lawfully acquire, hold or trade any particular asset where you live.

We do not keep a list of countries of our own. The lists this interface uses are the issuer's, set out below, and what it does with them is this: where the issuer does not offer Stock Tokens, the controls that trade one — or trade through one — are switched off; where the issuer names a country as prohibited, every control that sends a transaction is switched off. Reading, prices and charts stay open everywhere. The country comes from your connection and a VPN changes it, so this is a courtesy, not a lock, and it does not make any trade lawful where it is not.

Stock Tokens carry the issuer's restrictions

$NVDA, $TSLA and the other stock-paired assets on Robinhood Chain are Stock Tokens: tokenized debt securities issued by Robinhood Assets (Jersey) Limited. They give economic exposure to a share price; they are not the share, and holding one gives you no rights in the company. We do not issue them, we cannot change their terms, and we are not connected to their issuer.

AGI is not affiliated with, endorsed by or sponsored by Robinhood, Backed or by the issuer of any Stock Token or xStock. “Robinhood”, “Robinhood Chain”, “Backed”, “xStocks” and the names of the companies whose shares these tokens track are trademarks of their respective owners, used here only to say which chains this runs on and who issues what.

The issuer states that these products are not registered under the US Securities Act of 1933 and may not be offered, sold or delivered, directly or indirectly, in the United States or to or for the account or benefit of US Persons, and that offers are restricted in other jurisdictions — it names the United States, Canada, the United Kingdom and Switzerland, and lists Cuba, Belarus, Iran, North Korea, Russia, Syria, Ukraine, South Sudan, Sudan, Myanmar and Venezuela as prohibited. Those are the two lists this interface applies. They are the issuer's, they can change without us noticing, and the current version is the one that counts: docs.robinhood.com/rhj.

This applies to a stock token you only pass through. If a trade routes through one on its way somewhere else, the restriction applies to that trade even if you never hold the token and even if neither end of your trade is a stock.

xStocks carry their issuer's restrictions

A launch on Solana can be paired with an xStock such as NVDAx or TSLAx: a token issued by Backed Assets (JE) Ltd that tracks the price of a share or an ETF. It is not the share. We do not issue xStocks, we cannot change their terms, and we are not connected to their issuer.

The issuer states that its products are prohibited for US citizens, US residents and anyone otherwise taxable in the United States, that xStocks are not currently available in the United Kingdom, that offers in Switzerland are limited to professional investors, and that residents of North Korea, Syria and Iran and of jurisdictions under a FATF call for action are excluded. They are the issuer's lists, they can change without us noticing, and the current version is the one that counts: xstocks.fi. With them, and with its distributor's, the controls that launch a token paired with an xStock, or trade one, are switched off in the United States, the United Kingdom, Switzerland, Canada and Australia, and every control that sends a transaction is switched off in the countries named above as prohibited.

What we ask of you

Do not use this for a transaction that is prohibited where you are, whether by sanctions, by securities law or by the terms of an asset you are touching. Nothing in this document authorises a transaction that would otherwise be prohibited, and nothing in it removes an obligation the law places on us.

Terms / 03

We never hold your money

There is no account here, no deposit and no balance we keep for you. Your wallet holds your assets and your keys, and every launch, trade, claim and approval is a transaction your wallet asks you to sign. We cannot move your funds, sign for you, reverse anything or freeze anything.

We are not a bank, a broker, an exchange, a custodian, an adviser or a money transmitter, and nothing on this site is financial, legal, accounting or tax advice. What executes and how is decided by the contracts and the network, not by us.

Terms / 04

Your wallet is yours to protect

We will never ask for your private key or your seed phrase, and anyone who does is not us. We cannot recover a wallet, undo an approval or help with anything signed from a compromised device.

  • Read what your wallet shows you before signing: the contract address, the amount and the network.
  • Check any address this site prints against the Addresses section, and check that against the explorer. Names and logos can be copied; addresses cannot.
  • Anything authorised from your wallet is treated as done by you.

Terms / 05

Transactions are final

Once a transaction is on chain, nobody can take it back — not you, not us, not the people who run the network. A wrong address, a wrong amount or a wrong chain is not recoverable.

Every price, market cap, fee estimate and progress bar on this site is an estimate read from public data, and can be stale, wrong or different from what actually executes. Transactions can fail, sit pending, execute at a price you did not expect, or be reordered. We do not promise that anything you submit will confirm, or when.

Terms / 06

Launching a token

Whatever you launch is yours: the name, the symbol, the image, the description, the links and the fee wallet, and everything that happens to it afterwards. You are saying you have the right to use what you upload and that it is not illegal where you are.

Launching through these contracts does not mean we reviewed anything, approved anything, or think it is worth anything. A token appearing on our pages, in a list or in a chart is not a recommendation. We sort and show launches by neutral things like recency and activity, and that is all it means.

What we can do about content is limited and worth stating plainly: we can stop showing something on our own pages, and that is where it ends. We cannot change, hide or remove a token, its pool or its liquidity — those are not ours, they are on a public chain, and they outlive us.

Terms / 07

Trading

Tokens launched here are made by whoever launched them, and most of them will end up worth nothing. They can be illiquid, volatile, abandoned or built to take your money. Two tokens with the same name are two different tokens.

Things worth understanding before you spend anything, all documented in full in the docs:

  • Buying in the first blocks of a launch can cost you up to 99% in snipe tax unless the creator exempted your wallet. The exemption list is public — read it.
  • A creator can have up to 32 wallets buy at the untaxed price. That is visible on chain and says nothing good or bad about them.
  • Locked liquidity is not a price floor. The position can never be withdrawn, and the price can still go to almost zero.
  • Graduation means a threshold was reached. Nothing else. It is not a quality signal and it does not promise you an exit.
  • Some markets are priced in a Stock Token or an xStock issued by somebody else under their own terms, for their own eligible users. Those assets are theirs, not ours, and we make no claim about them or about the companies whose names they carry.

Terms / 08

Trading tokens from the rest of the chain

The markets page shows tokens that were not launched here: memecoins from other launchpads and Stock Tokens. Their prices, charts and figures come from public data and from third-party providers, and a name or a logo tells you nothing about who made a token — two tokens can share a ticker, and some copy the name of a Stock Token on purpose. We have not reviewed any of them.

A trade there is a transaction your wallet sends to the Uniswap Universal Router, which swaps through public Uniswap pools that are not ours. We only route through pools without hooks, we show you the route and the minimum you will receive before you sign, and the transaction reverts if the minimum is not met. We do not hold anything in between.

Paying with a token we cannot route ourselves, and paying from or cashing out to another chain, goes through Relay, a third-party router. You sign on the chain you are paying from and Relay delivers what you bought to the address you chose — your own wallet on Robinhood Chain. Delivery usually takes seconds but it is not instant, the quote and the estimate are Relay's, and if the route cannot be completed Relay refunds you on the chain you paid from. We never hold your funds, and we cannot reverse, speed up or recover one of these trades.

Terms / 09

Fees

Trading pays a base fee and, where the creator set one, a creator tax. What each launch charges is fixed when it launches and is set out in Fee schedule and caps; changing the settings later only affects launches made after the change.

A trade on the markets page pays AGI's fee, shown before you sign (0.3% today, Stock Tokens included), on top of the pool's own fee. Through the Uniswap Universal Router it is taken in USDG or WETH inside the same transaction; through Relay it is part of what Relay charges for the route and is credited to us there, so it is not a separate transfer in your transaction. Either way the figure you are shown before signing is the one that applies.

A trade on $AGI's own page pays the same fee, taken in NVDA inside the same transaction, on top of the 2% that $AGI's pool charges.

On Solana, every trade pays the fee chosen at launch, 1.6%, 2.4% or 3.2%, on the curve and in the graduated pool, in the pair. After Meteora's 20%, a fixed 21.87% of what is left goes to AGI and the remainder to the holders of the token, or to its creator if the launch chose so, as set out in Fees on Solana and Holder rewards.

Network gas is separate and goes to the network. What we keep, and what we do with it, is written down in Where the protocol's cut goes. Taxes are yours: what you owe, where, and reporting it.

Terms / 10

Referrals and rewards

Any wallet can create one referral code and share its link. A wallet that has not traded here before — on the DEX, on the launchpad or in $AGI — can accept one referral code, once, by signing a message. From then on, the wallet that referred it earns a share of the fee AGI collects on its DEX trades. The share, which trades count and the date each figure applies from are set out in Referrals, and they are part of these terms.

  • It costs the referred wallet nothing. Rewards come out of AGI's own part of the fee. The fee is the same with or without a referral, and the 80% of what we collect that buys back and burns $AGI does not change.
  • What counts. Only trades made after the referral code was accepted that pay AGI's fee, and never trades in Stock Tokens themselves. A trade whose route passes through a Stock Token, such as buying or selling $AGI, on the markets page or on its own page, counts.
  • How it is paid. Each reward is counted in dollars at the time of the trade and paid in USDG, by hand, to the wallet that owns the code, from the address listed in Referrals, once it reaches $5. There is no fixed schedule. A payment from any other address is not from us.
  • Who cannot take part. Anyone in the countries where every control that sends a transaction is switched off (see Who can use this), and AGI's own wallets.
  • Changes. The share and what counts can change, and the program can end. Each change has a date and applies from that date; rewards already counted are not reduced. If the program ends, what was counted until then is paid, whatever the amount.

When you share your link

  • Do not present AGI, any token or the rewards as an investment or as a way to earn a return.
  • Do not use it to promote Stock Tokens, or to reach people who are not allowed to trade here.
  • Do not spam, and do not present yourself as AGI or as speaking for it.

Rewards obtained by breaking these terms can be withheld. Until they are paid, rewards are an entry in our records, not a deposit or a balance we hold for you, and they give you no other claim on AGI. Taxes on them are yours.

Terms / 11

Builder rewards

The wallet that receives the creator fees of a token launched here on Model V2 earns a reward each time that token reaches a trading-volume milestone. The milestones, the rewards, how volume is counted and the date each figure applies from are set out in Builder rewards, and they are part of these terms.

  • It costs nobody anything. Rewards come out of AGI's own part of the fees. Traders pay the same fee, the creator's share does not change, and the 80% of what we collect that buys back and burns $AGI does not change.
  • What counts. The token's trading volume on its bonding curve and in its pool after graduation, whatever it is paired with, Stock Tokens included, measured from the fee AGI collects as set out in Builder rewards, from the date the program opened.
  • Who receives it. The wallet that receives the token's creator fees when the milestone is reached. Every token that reaches a milestone is paid; tokens do not compete with each other.
  • How it is paid. Each reward is counted in dollars and paid in USDG, by hand, from the address listed in Builder rewards, once the balance reaches $5, together with any referral rewards. There is no fixed schedule. A payment from any other address is not from us.
  • Who cannot take part. Anyone in the countries where every control that sends a transaction is switched off (see Who can use this), AGI's own wallets, and tokens we do not show on the launchpad, for as long as we do not show them.
  • Changes. The milestones, the rewards and what counts can change, and the program can end. Each change has a date and applies from that date; rewards already earned are not reduced. If the program ends, what was earned until then is paid, whatever the amount.

What is not allowed

  • Presenting AGI, your token or the rewards as an investment or as a way to earn a return.
  • Presenting yourself as AGI or as speaking for it.
  • Trading with yourself, or between wallets you control, to reach a milestone.

Rewards obtained by breaking these terms can be withheld. Until they are paid, rewards are an entry in our records, not a deposit or a balance we hold for you, and they give you no other claim on AGI. Taxes on them are yours.

Terms / 12

What we can still change, and what nobody can

These contracts are not upgradeable and not renounced. A deployed contract cannot be patched, so a bug in one is permanent. And there is an owner key that keeps real powers, which we would rather you read from us than discover later. Owner powers and trust lists every one of them: the owner can set the terms of future launches, approve or remove quote assets, retune the snipe tax, rotate the operator, redirect a launch's creator fee recipient after three days' notice, and release a stuck launch's swept reserves after seven.

What nobody can do, us included: withdraw the locked liquidity of any launch, change the terms a token already launched under, take tokens out of your wallet, or reverse a trade.

On Solana, AGI's reward program can be upgraded by a key held by AGI. The programs it calls, Meteora's and Token-2022, are not ours, and their authors can upgrade them without notice. See Who can change what.

Terms / 13

What you must not do here

  • Break the law, sanctions, or somebody else's rights.
  • Publish token metadata, links or chat messages that are fraudulent, abusive, malicious or designed to deceive.
  • Impersonate us, or present something as run by us when it is not.
  • Attack, overload or scrape this site's infrastructure, or work around the limits it sets.
  • Use this to launder money, fund anything unlawful, or defraud anyone.
  • Use a launch as a stand-in for equity, debt, a share of profits, a fundraise or any other claim on a business. This is a launchpad for tokens, not a way to sell an interest in a company.

If you do any of it, we can stop showing your content on our pages. That is the whole extent of what we can enforce — the chain does not take instructions from us.

Terms / 14

Nothing here has been audited

There are more than 600 Solidity tests and more than 1,200 backend tests. There is no external audit and no bug bounty. Nobody independent has reviewed the contracts, the Solana program, the deployment, the owner key or this front end.

What you do get is a build you can reproduce byte for byte and check against the chain yourself, which is described in Building the contracts. That tells you which code is running. It does not tell you the code is right.

Terms / 15

The things we depend on

This runs on Robinhood Chain and Solana, on Uniswap's contracts, on Meteora's programs and on Token-2022, reads prices from third-party sources, talks to an RPC provider, and connects to whatever wallet you choose. The bridge is Relay's. None of them is ours, none of them answers to us, and any of them can fail, change or disappear.

A link or an integration is not an endorsement, and using one of those services puts you under their terms, not ours.

Terms / 16

This site can stop working

We can change, break, suspend or shut down any part of this interface at any time, and we do not promise it stays up, stays compatible with your wallet, or keeps anything we store off chain.

If this site disappears tomorrow, the contracts keep running without it. They are public, their addresses are published, and anyone can call them directly. That is the point of building it this way. On Solana, a token's image and description are files on our domain, and a reward is claimed with a proof from a file we serve.

Terms / 17

No warranties

The formal version, in the form the law asks for it:

In plain words: we built this carefully and we still cannot promise it works, that a token is real, or that a price you see is the price you get.

Terms / 18

How far our responsibility goes

Some places do not allow those limits. Where that is the case, they apply only as far as the law there allows.

If you lose money here, you lose it. We have no fund to make you whole, no insurance and no way to reverse anything. Only put in what you can afford to lose entirely.

Terms / 19

The memes are free to use

The images in the Meme Lab and the gallery are ours, and we want them out there. Download them, edit them, post them anywhere, including to promote $AGI. Credit “Artificial Gato Intelligence” where there is room for it; a link back is welcome and not required.

Two limits: do not claim you drew them, and do not use them to suggest we endorse something we do not. The name and the logo are a separate matter — using them to pass yourself off as us is covered under what you must not do here.

They come as they are, with no warranty. Anything you build on top of them is yours to check.

Terms / 20

Changes to these terms

We will update this as the interface changes, as the law changes, or when we get something wrong. The effective date at the top is always the version that applies, and continuing to use the site after a change means the new version applies to what you do from then on.

Terms / 21
